1. Agreement to these Terms

These Terms of Service (“Terms”) form a binding agreement between you and Beijing Lingxi Dance Technology Co., Ltd., operating under the brand Luminiea (“Luminiea,” “we,” “us”). They govern your access to and use of our websites, the Lumini application, AI model services, intelligent hardware (including PCBA modules), APIs, and related cloud services (the “Services”).

By installing, accessing, activating, pairing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility & adult-oriented content

1. The Services are intended exclusively for adults. Certain features involve intimate wellness / companion experiences and may include adult-oriented content.
2. You must comply with all laws applicable to you, including age-of-consent and obscenity laws in your jurisdiction. You are solely responsible for ensuring that your use is lawful where you live.
3. We may suspend or terminate access if we reasonably believe you are underage or using the Services unlawfully.

3. The Services

1. AI nature of outputs. Features powered by generative AI may produce inaccurate, incomplete, or unexpected content. Outputs are for personal, non-professional use and are not medical, legal, financial, safety, or other professional advice.
2. No emergency or clinical services. The Services do not provide diagnosis, treatment, emergency response, or crisis intervention. If you are in danger or need medical help, contact local emergency services immediately.
3. Hardware & third-party components. Device performance depends on your environment, firmware, and network. Third-party products or services you connect remain subject to their own terms; we are not responsible for third-party offerings.
4. Updates. We may modify, update, or discontinue features to improve security, performance, or compliance. We will provide notice where reasonably practicable.
5. Availability. We aim for reliable service but do not guarantee uninterrupted or error-free operation.

4. Accounts

1. You must provide accurate registration information and keep credentials confidential.
2. You are responsible for activity under your account. Notify us promptly of unauthorized use at [email protected].
3. Accounts are personal and non-transferable unless we agree in writing.
4. You may request account deletion through in-app flows or by contacting support. Residual backups may persist for a limited period as described in the Privacy Policy.

5. License & intellectual property

1. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-commercial license to use the Services as provided.
2. We and our licensors own all rights in the Services, including software, models, branding, and documentation. No rights are granted except as expressly stated.
3. You retain rights in content you submit (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content solely to operate, secure, and improve the Services as described in the Privacy Policy.
4. You must not reverse engineer, scrape at scale, copy model weights, circumvent technical protections, or use the Services to train competing models except as permitted by mandatory law.
5. AI-generated content may be marked where required by law. Do not remove mandatory AI disclosure labels.

6. Acceptable use

You agree not to:

1. Use the Services if you are under 18 (or under the age of majority in your jurisdiction).
2. Involve minors in any content, roleplay, imagery, or interaction related to the Services.
3. Violate applicable law, including privacy, IP, export control, sanctions, or computer misuse laws.
4. Harass, exploit, threaten, or harm others; distribute malware; probe or attack our systems; or bypass rate limits and security controls.
5. Upload unlawful content, including non-consensual intimate imagery, exploitation material, or content that infringes others’ rights.
6. Use outputs for high-stakes automated decisions without appropriate human review where required.
7. Misrepresent AI outputs as human-created professional advice.

We may investigate and take action (including suspension, termination, and reporting to authorities) for violations.

7. Privacy

Our processing of personal data is described in the Privacy Policy and Cookie Policy. By using the Services, you acknowledge those documents.

8. Fees (if applicable)

Some features may be paid. Prices, billing cycles, and refunds (if any) will be presented at purchase. Taxes may apply. Failure to pay may result in suspension of paid features.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, SAFE, OR APPROPRIATE FOR YOUR SITUATION.

Nothing in these Terms excludes rights that cannot be limited under applicable consumer protection laws (including mandatory EU/UK consumer rights).

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINIEA AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

11. Indemnity

You will defend and indemnify Luminiea and its affiliates against claims, damages, and expenses arising from your User Content, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

12. Suspension & termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or if we discontinue the Services. Sections that by nature should survive (including IP, disclaimers, liability limits, and dispute terms) will survive termination.

13. Export & sanctions

You may not use or export the Services in violation of applicable export control or sanctions laws, or if you are a prohibited party under such laws.

14. Governing law & disputes

1. These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law rules, except that mandatory consumer protection laws of your country of residence may still apply.
2. If you are a consumer in the EEA/UK, you may bring proceedings in your local courts. You may also use the EU Online Dispute Resolution platform where applicable.
3. For business users, exclusive jurisdiction lies with the courts of Hong Kong SAR, unless mandatory law provides otherwise.

15. Changes to these Terms

We may update these Terms. We will post the revised version with a new “Last updated” date and, for material changes, provide additional notice where required. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Services.

16. Miscellaneous

1. If any provision is unenforceable, the remainder remains in effect.
2. Failure to enforce a provision is not a waiver.
3. These Terms are the entire agreement regarding the Services and supersede prior conflicting terms for the same subject matter.
4. You may not assign these Terms without our consent; we may assign them in connection with a corporate reorganization or sale.
